These Terms of Use ("Terms") govern your access to and use of the websites operated by Corkboard, LLC, an Arizona limited liability company ("Corkboard," "we," "us," or "our"), including corkboardbusiness.com, the websites and online stores we host for wine clubs and wineries, and any related pages, forms, and online services (together, the "Sites").
By accessing or using the Sites, you agree to these Terms. If you do not agree, do not use the Sites.
1. OUR SERVICES AND SEPARATE AGREEMENTS
Corkboard provides business software and services for wine clubs, wineries, and similar businesses, including the "Corkboard for Business" software and related hosting, implementation, and support (the "Business Services").
Use of the Business Services by a business customer is governed by a separate written agreement between Corkboard and that customer, such as a Master Services Agreement, subscription agreement, order form, or statement of work (a "Customer Agreement"). If these Terms conflict with a Customer Agreement, the Customer Agreement controls.
The Corkboard Personal Wine Cellar application is governed by its own Terms of Service.
2. ELIGIBILITY
You must be at least 18 years old to use the Sites. Where a Site offers, displays, or promotes alcoholic beverages, you must be at least 21 years old.
If you use the Sites on behalf of a business or other organization, you represent that you have authority to accept these Terms on its behalf.
3. ACCOUNTS AND SECURITY
Some areas of the Sites require an account. You are responsible for maintaining the confidentiality of your login credentials, for all activity under your account, and for promptly notifying us of any unauthorized use.
Access to Corkboard systems may be by invitation only. We may refuse, suspend, or end access to any account at our discretion, including to protect the security of the Sites or other users.
4. ACCEPTABLE USE
You agree not to, and not to permit or assist any other person to:
- Use any robot, spider, crawler, scraper, script, or other automated means to access, copy, collect, index, or monitor the Sites or their content, including product catalogs, prices, images, descriptions, and other listings, except for general-purpose search engines indexing public pages in accordance with our robots instructions;
- Copy, reproduce, mirror, frame, republish, or create a substantially similar copy of any Site, catalog, page design, or content, in whole or in substantial part;
- Reverse engineer, decompile, disassemble, or attempt to derive the source code, data structures, configurations, or underlying logic of any Corkboard software, including by inspecting technical settings, interfaces, or application programming interfaces;
- Access or use the Sites to build, benchmark, or improve a competing product or service, or to assist anyone else in doing so;
- Probe, scan, or test the vulnerability of any system or network, or circumvent any security, rate limit, access control, or geographic restriction;
- Interfere with or disrupt the Sites, including by overloading, flooding, or sending malicious code;
- Access any account, data, or area you are not authorized to access;
- Use the Sites in violation of any applicable law, including laws governing the sale, shipment, and advertising of alcoholic beverages; or
- Misrepresent your identity or affiliation, or impersonate any person.
Corkboard's Acceptable Use Policy, published at corkboardbusiness.com/legal, also applies. We may use technical measures to detect and block prohibited activity, including automated-traffic filtering, rate limits, and geographic restrictions.
5. INTELLECTUAL PROPERTY
The Sites and the Business Services, including all software, source code, modules, extensions, integrations, designs, layouts, text, graphics, data compilations, and documentation that Corkboard provides, are owned by Corkboard or its licensors and are protected by copyright, trade-secret, trademark, and other laws.
Corkboard software is proprietary. Corkboard's Odoo modules are licensed only under the Odoo Proprietary License (OPL-1) together with a written agreement with Corkboard, and may not be published, distributed, sublicensed, or sold. No other license is granted by these Terms.
"Corkboard," the Corkboard logo, and related names and logos are trademarks of Corkboard. You may not use them without our prior written permission.
Content provided by our customers, such as a wine club's product photos, wine descriptions, and branding, belongs to that customer or its licensors and is displayed under the customer's authority.
6. CUSTOMER DATA
Our business customers own the data they enter into or collect through the Business Services, including information about their own members and customers ("Customer Data"). Corkboard processes Customer Data on the customer's behalf as described in the applicable Customer Agreement and our Privacy Policy.
7. FEEDBACK
If you send us suggestions, ideas, or other feedback, we may use them without restriction or obligation to you.
8. ALCOHOL
Corkboard is a software provider. Corkboard does not sell, ship, deliver, or hold licenses to sell alcoholic beverages, and is not the merchant of record for any sale of alcohol.
Each wine club, winery, or retailer using the Business Services is solely responsible for its own licensing, age verification, tax, shipping, and other legal compliance in connection with any sale or delivery of alcoholic beverages.
9. THIRD-PARTY SERVICES AND LINKS
The Sites and Business Services use or link to third-party products and services, including the Odoo software platform, hosting and network providers, mapping services, and artificial-intelligence services. Third-party services are governed by their own terms, and Corkboard is not responsible for them.
Odoo is a trademark of Odoo S.A. Corkboard is not affiliated with or endorsed by Odoo S.A.
10. PRIVACY
Our Privacy Policy describes how we collect, use, and share personal information. By using the Sites, you acknowledge our Privacy Policy.
11. DISCLAIMERS
THE SITES ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE FULLEST EXTENT PERMITTED BY LAW, CORKBOARD DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT, AND ANY WARRANTY THAT THE SITES WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.
Information on the Sites, including wine descriptions, tasting notes, drink windows, and food pairings, is provided for general information only and may be supplied by third parties.
12. LIMITATION OF LIABILITY
TO THE FULLEST EXTENT PERMITTED BY LAW, CORKBOARD WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING FROM OR RELATED TO THE SITES.
EXCEPT AS OTHERWISE PROVIDED IN A CUSTOMER AGREEMENT, CORKBOARD'S TOTAL LIABILITY ARISING FROM OR RELATED TO THE SITES WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS (US $100).
13. INDEMNIFICATION
You will defend, indemnify, and hold harmless Corkboard and its members, managers, employees, and contractors from any claims, losses, liabilities, damages, costs, and expenses, including reasonable attorneys' fees, arising from your breach of these Terms or your misuse of the Sites.
14. SUSPENSION AND TERMINATION
We may suspend or end your access to the Sites at any time, with or without notice, including if we believe you have violated these Terms. Sections 4 through 7 and 11 through 18 survive termination.
15. ENFORCEMENT AND REMEDIES
A violation of Section 4 or Section 5 may cause Corkboard irreparable harm. Corkboard may seek injunctive or other equitable relief to prevent or stop such a violation, in addition to any other remedy available at law, and the prevailing party in any action to enforce these Terms will be entitled to recover its reasonable attorneys' fees and costs.
16. CHANGES TO THESE TERMS
We may update these Terms from time to time. Each version carries a version number and effective date, and a new version replaces the prior one from its effective date. The updated Terms will be posted on the Sites, and your continued use of the Sites after the update means you accept them. Prior versions remain available at corkboardbusiness.com/legal.
17. GOVERNING LAW AND VENUE
These Terms are governed by the laws of the State of Arizona, without regard to conflict-of-law principles. Any legal proceeding arising from these Terms will be brought in the state or federal courts located in Maricopa County, Arizona, and you consent to the jurisdiction of those courts.
18. GENERAL
If any provision of these Terms is found unenforceable, the remaining provisions remain in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent. These Terms, together with our Privacy Policy and any applicable Customer Agreement, are the entire agreement between you and Corkboard regarding the Sites.
